Vera ("Vera", "we", "our", "us") is an AI marketing assistant provided by magicpin (Samast Technologies Private Limited) to its merchant partners. These Terms of Service ("Terms") govern your access to and use of Vera through WhatsApp, the magicpin partner portal, web, or any other channel. By using Vera, you ("you", "the merchant") agree to these Terms.
By accessing or using Vera, you confirm that you are an authorized representative of a business that partners with magicpin, that you are at least 18 years old, and that you have the authority to enter into these Terms on behalf of your business. If you do not agree, do not use Vera.
Vera is provided as part of your existing magicpin partner relationship. Your use of Vera is also subject to the magicpin Partner Terms, which are incorporated into these Terms by reference. If there is a conflict, the Vera-specific provisions in these Terms govern for your use of Vera.
Vera is a conversational assistant that helps merchants manage their marketing and online presence. Depending on the features you enable, Vera can:
Vera performs actions on your behalf only for accounts you explicitly connect and authorize. You remain responsible for the content published and actions taken through Vera on your accounts.
To use certain features, you connect third-party accounts (such as Google, Instagram, or TikTok) through each provider's official authorization (OAuth) flow. By connecting an account, you authorize Vera to access and act on that account within the scope of the permissions you grant. You may revoke this authorization at any time by disconnecting the account inside Vera or via the relevant provider's app-permissions settings.
You are responsible for maintaining the security of your credentials and for all activity that occurs under your connected accounts.
Vera integrates with third-party platforms, including Google Business Profile, Instagram (Meta), and TikTok. Your use of features that rely on these platforms is also subject to the respective platform's terms and policies, including:
You are solely responsible for ensuring that content you publish through Vera complies with the applicable platform's policies and with all applicable laws. Vera is not affiliated with, endorsed by, or sponsored by TikTok, Meta, or Google. Platform features may change or become unavailable if a provider changes its APIs or policies.
You agree not to use Vera to:
You retain ownership of the content you provide to Vera and the content Vera publishes on your behalf. You grant us a limited license to process, store, format, and publish that content solely to provide the service you request. Vera and all associated software, branding, and materials remain the property of magicpin (Samast Technologies Private Limited) and its licensors.
Access to Vera is provided as part of your magicpin partner account. Where a feature requires payment, applicable fees and billing terms will be presented to you before you incur any charge, and are governed by the magicpin Partner Terms.
Vera is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated suggestions will be accurate or suitable for your purposes. You are responsible for reviewing content before it is published where a review step is offered.
To the maximum extent permitted by law, magicpin (Samast Technologies Private Limited) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising out of or related to your use of Vera. Our total liability for any claim arising from these Terms or your use of Vera shall not exceed the amount you paid, if any, for the Vera feature giving rise to the claim in the twelve months preceding the claim.
You may stop using Vera and disconnect your accounts at any time. We may suspend or terminate your access to Vera if you breach these Terms, if required to comply with law or a platform provider's requirements, or if the service is discontinued. Upon termination, the authorizations you granted are revoked and associated credentials are deleted as described in our Privacy Policy.
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of Vera after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of India, without regard to conflict-of-law principles. The courts at Gurugram, Haryana shall have exclusive jurisdiction over any disputes arising from these Terms.
